1. Agreement
This Wire Transfer Agreement ("Agreement") governs funds transfers initiated by you with PayServices Bank ("Bank") through the wire-transfer rails available via the ITAM application or otherwise. It is in addition to, and does not replace, the Terms of Service, the Electronic Fund Transfer Disclosure, and other applicable agreements.
This Agreement is governed by Article 4A of the Uniform Commercial Code ("UCC 4A") as adopted in the State of Idaho, by Federal Reserve Regulation J (12 CFR Part 210) for transfers over Fedwire, and by other applicable federal and state law. Card transactions on the PayServices Network are not subject to this Agreement; they are governed by the Terms of Service and the EFT Disclosure.
2. Funds transfer requests
You may submit funds-transfer payment orders ("Requests") in accordance with the terms of this Agreement. Subject to the security procedures described in Section 4, we will execute funds transfers in accordance with Requests received from you or your authorized representatives ("Authorized Agents").
Fully and finally collected funds must be available in the account specified in the Request at the time the Request is made. We may choose the funds-transfer mechanism (for example, Fedwire, correspondent-bank transfer, internal transfer, or PayServices Network real-time settlement) to be used to act upon a Request. We will forward all information required by law, including the originator's name, address, and account number.
3. Cut-off times and execution
Requests must be received by the cut-off times listed below to be executed on the same business day. Requests received after the cut-off time, on a non-business day, or on a day we are otherwise closed, will be executed on the next business day.

We may reject a Request for any reason or for no reason, including insufficient collected funds, inability to verify authenticity in accordance with the security procedures, or for compliance reasons. We will notify you by phone, email, or in-app notification if we reject a Request.
4. Security procedures
You agree that the security procedures we use, as set forth in Schedule A to this Agreement (provided to you at enrollment), are commercially reasonable. We will use these procedures to verify the authenticity of a Request and to detect unauthorized Requests. If we act on a Request in compliance with the security procedures, you will be obligated on the Request and it will be treated as your Request, whether or not actually authorized by you.
Security procedures may include confidential codes or passwords, callback verification, multi-factor authentication, biometric authentication, IP-address verification, transaction-pattern analysis, and other measures we may implement from time to time. You are responsible for maintaining the confidentiality of all security procedures, including any codes or passwords. You will notify us immediately if you suspect that any security procedure has been or may be compromised.
We may, but are not obligated to, record telephone calls between us and persons acting on your behalf, and may keep these recordings for as long as we wish. You must obtain the consent of your Authorized Agents to such recording.
5. Reliance on identifying numbers
When a Request contains a name and an account or routing number, payment may be made by us and any other banks involved based solely on the identifying number, even if the number identifies a beneficiary or a bank different from the one you named. You acknowledge that we and other banks may rely on any identifying number you supply, and your obligation to pay the amount of the funds transfer is not excused in such circumstances.
6. Amendment and cancellation
You may not be able to amend or cancel a Request after we have received it. We may, in our discretion, use reasonable efforts to act on your request for amendment or cancellation, but will not be liable if it does not succeed. You will indemnify and hold us harmless from any liabilities, costs, and expenses we incur in our amendment or cancellation efforts.
7. Recordkeeping and information transmittal
You acknowledge that any Request executed by us will be subject to rules and regulations applicable to payment orders, including recordkeeping and information-transmittal requirements under the federal Bank Secrecy Act and its implementing regulations, OFAC sanctions screening, and the FinCEN Travel Rule. We may capture and transmit information about you (such as your name, address, and account number) and about the beneficiary (such as the beneficiary's name, address, identifiers, and account number) as part of processing a payment order. You agree to assist us in connection with any requirements imposed on us in fulfilling our obligations.
8. Account reconciliation
All funds transfers will be reflected on your periodic statement and in the ITAM application. You agree to notify us promptly of any discrepancy between your records and the information shown on any such statement or report, in accordance with Section 12 of the Terms of Service.
9. Liability
We will exercise reasonable care in processing Requests. You will exercise reasonable care in observing security procedures, examining statements and records, and initiating Requests. You are responsible for ensuring the accuracy of Requests, and we have no duty to verify the accuracy of a Request or be liable for any losses or damages arising from Requests that contain erroneous information.
In no event shall we be liable for any consequential, special, punitive, or indirect loss or damage you may incur in connection with this Agreement, including, without limitation, loss or damage from subsequent wrongful dishonor resulting from our acts or omissions pursuant to this Agreement.
10. Acts beyond our control
We will use Fedwire or correspondent banks for transmitting a funds transfer. We will not be responsible for failing to act or for delay caused by legal constraint, interruption of transmission or communication facilities, equipment failure, war, emergency conditions, or other circumstances beyond our control. In addition, we shall be excused from failing to accept, execute, or settle a Request if doing so would result in our exceeding any limitation on our intra-day net funds position established pursuant to present or future Federal Reserve guidelines, or in our otherwise violating any provision of any present or future risk-control program of the Federal Reserve or any rule or regulation of any other governmental regulatory authority.
11. Amendments and termination
We may amend any of the terms and conditions of this Agreement, including any cut-off time, business day, or security procedure, from time to time. Such amendments shall become effective upon receipt of notice by you or such later date as may be stated in our notice.
You may terminate this Agreement at any time by written notice to us. We may terminate this Agreement immediately by written notice to you. Termination does not affect rights and obligations that arose before termination.
12. Governing law
This Agreement is governed by and construed in accordance with the laws of the State of Idaho and applicable U.S. federal law, including UCC Article 4A and Federal Reserve Regulation J.
